Alawneh Online Services Terms and Conditions

These Terms and Conditions (the “Agreement”) set forth the terms and conditions governing your use of Alawneh Online services as defined below.  To use our Online Services, and any related software, you must download Alawneh Mobile Application (the “App”) to your Mobile Device or by visiting Alawneh Online Site. By participating in and downloading Alawneh Mobile application and\or using Alawneh Online Site, you are agreeing to the terms and conditions presented here in this Agreement.  Please read this Agreement carefully and keep it for future reference. 

IT IS IMPORTANT THAT YOU READ AND UNDERSTAND OUR TERMS AND CONDITIONS BEFORE YOU ACCEPT THEM. THEY CONTAIN LIMITATIONS ON THE SCOPE OF OUR OBLIGATIONS TO YOU, AS WELL AS LIMITATIONS ON, AND EXEMPTIONS FROM, OUR LIABILITY TO YOU IN THE EVENT THAT YOU SUFFER A LOSS AS A RESULT OF USING OUR ONLINE SERVICES.

• DEFINITIONS.

1.  “Online Services” means: Alawneh Mobile application Services and\or Alawneh Online services through its website and\or The E-Way online platform.
2. “You” and “your” means: a person who has applied for the Online Service for personal use.
3. “Alawneh”, “E-Way”, “we”, “us”, and “our” mean Alawneh Exchange Co LLC and its successors or assigns.
4. "Receiver" refers to the person identified as the beneficiary of a money transfer (whether that money transfer is initiated by a Sender using our Online Service).
5. "Sender" refers to the person who initiates the carrying out of a money transfer by using the Online Service.
6. "Transaction\Remittance" refers to each money transfer that you initiate under, and each other use that you make of, the Online Service.
7. " Alawneh Online Site "or "site" refers to the Web site operated by us to provide online money transmission services and related information facilities.
8. “Paying Agent” refers to any of Alawneh’s agents/ representative using our Online Service who pays the Remittance to the Receiver
9. “OTP” means the one-time password which will be generated from the system and sent to your Mobile device prior to initiating any Transaction.
10.  “Mobile Device” means any cellular or mobile phone, tablet computer, or personal digital assistant (PDA) satisfying hardware and software requirements as specified by us from time to time.
11. “User Guide” means the App download instructions, device instructions and FAQS we provide to you on our Internet site from time to time, in addition to any help content contained within the software application that is downloaded to your Mobile Device.

• DESCRIPTION OF THE ONLINE SERVICES. You may use our Online Service throughout: (i) The E-Way Platform; (ii) Alawneh Online Site; (iii) Alawneh Mobile Application. Our Online Services may not be available via your Mobile Device. Customers who use the Online Services will be subject to the applicable laws and regulations governing the electronic money transfers.

• ENROLLMENT\REGISTRATION. To use our Online Service, you can enroll by two ways:  (i) you can download the E-way Mobil App from either the App Store for iPhones or the Google Play Store for Androids.  Upon completing the download, you will be required to enter your E-Way User ID, password and fill out a test question before gaining access to the mobile E-Way product. (ii)  You can also enroll by visiting our Web Site and follow the instructions listed in the Site. 

You will be required to register with us online, then verify your personal information and registration by providing your valid identification document as per the applicable Laws and regulations in effect. Registration is subject to these Terms and Conditions

• PASSWORD AND SECURITY. You will use your email as profile login (Username) and choose a password upon registering with us. You are responsible for maintaining the confidentiality of your password and account e-mail login and are fully responsible to us for all activities that occur under your password or account e-mail login. You agree that such Username and Password are considered as Your Digital and Electronic Signature. You should immediately notify us by any of the means described in clause (15) under, for any unauthorized use of your password or account e-mail login or any other breach of security.  Once you have told us that there has been an unauthorized use of your password or account e-mail login, we shall make our best endeavors to make necessary steps to try to prevent these from being used. We are not liable for any loss or damage arising from your failure to comply with your obligation to the safekeeping of your credentials.

• YOUR RESPONSIBILITIES.
  
  1. Any Transaction initiated by You or the usage of our Online Service shall be under your responsibility. You must make sure that all information is filled correctly. and NOT to initiate any Transaction any Prohibited person\entity.
  2. when you Enroll with us, you will provide us with true, accurate, current and complete information, and will maintain and promptly update such information to keep it true, accurate, current and complete.
  3. You will not use our Online Service for or in connection with any prohibited purpose.
  4. You are responsible for the security of your Username (e-mail account log-in) and password in accordance with clause 4 above.
  5. You agree to pay for the principle amount and our charges for each Transaction You initiate or request under our Online Services.
  6. You acknowledge and agree that information about You, any Transaction you initiate and the Services we provide to you, may be provided by us from time to time to any regulatory or governmental authorities, bodies or agencies if required by Law or if we determine that such disclosure may help to combat fraud, money laundering offences or other criminal activity.
  7. You agree to immediately provide Us with any additional information we may request regarding You and\or any Transaction You initiate.
  8. You hereby acknowledge that Alawneh Exchange Company supplied products & services are subject to compliance with the U.S, UN, UK and E.U.  regulations as well as applicable laws in countries related to the financial transaction, along with trade sanctions and export controls. Transactions, Products and Services offered by us shall not be Transported or transshipped to Sanctioned country \ entity \ individual directly or indirectly; Accordingly, You hereby certify that:
     
     1. You shall not be dealing with any Sanctioned country \ entity \ individual directly or indirectly.
     2. You shall not be dealing with any person who, or who is 50% or more owned or controlled by, or acting on behalf of any other persons who is subject to International sanctions.
     3. You shall not be dealing with any parties who are identified from time to time on United Nations, U.S, U.K Or E.U. restricted party lists.

• OUR RIGHTS.
  
  1. We shall not be held liable or accountable for:
  2. malfunctions in communications facilities which cannot reasonably be considered to be under our control and that may affect the accuracy or timeliness of the Services.
  3. any losses or delays in transmission of the Transaction arising out of the use of any Internet access service provider or caused by any browser or other software which is not under our control.
  4. viruses caused by third parties.
  5. errors on the Site or with our Online Service caused by incomplete or incorrect information provided to us by you or a third party.
  6. We shall have the right NOT to initiate any Transaction through our Online Service If:
  7. a. We have reason to believe that the Transaction is incorrect, unauthorized, forged or against the Applicable Laws.

b. We are unable to obtain satisfactory evidence of your identity.

1. We shall not be held liable for damages resulting from non-payment or delay in payment of a money transfer to a Receiver or failure to perform a transaction under our Online Service by reason of any of the events stipulated hereabove.
2. We shall have the right to terminate, Suspend Your access to and\or refuse to provide Our Online Services and\or refuse to initiate any Transaction at our sole discretion if We have reason to believe that your use of our Services may breach any applicable law, order of a court or requirement of any regulatory or governmental authority, body or agency having jurisdiction over us, or if we otherwise consider such action necessary to protect our interests or to prevent fraud, money laundering or terrorist financing or to comply with any applicable law, order of a court or requirement of any regulatory or governmental authority.
3. We shall have the right to suspend\stop\ change the operation of our Online Site or our Online Service in whole or in part if, in our absolute discretion and without notice.
4. We shall have the right to amend these Terms and Conditions, Our Privacy Policy at any time in our absolute discretion. We shall notify You of such amendments and you shall be requested to whether accept or decline. By declining You might not be able to use Our Online Services.
5. Any Cancellation and\or amendment to any Transaction shall be subject to Our Policies and Procedures.
6. We shall have the right to request for any additional information\ any SUPPORTED DOCUMENTS WHEN NEEDED regarding You and\or any Transaction initiated by You at our sole discretion.

• PRIVACY AND USER INFORMATION. You acknowledge that in connection with your use of our Online Services, Alawneh and its affiliates and service providers, may receive names, domain names, addresses, passwords, telephone and device numbers, the content of messages, data files (such as E-mail address, National ID, date of birth, residence, occupation, etc) and other data and information provided by you or from other sources in connection with our Online Service or the Software (collectively "User Information"). Alawneh and its affiliates and service providers will maintain reasonable safeguards to protect the information from unauthorized disclosure or use, but reserve the right to use and disclose this information as reasonably necessary to deliver the Mobile E-Way Services and as otherwise permitted by law, including compliance with court orders or lawful instructions from a government agency, to protect the personal safety of subscribers or the public, to defend claims, and as otherwise authorized by you. Alawneh and its affiliates and service providers also reserve the right to monitor use of our Online Service and the Software for purposes of verifying compliance with applicable law and this Agreement, but disclaim any obligation to monitor, filter, or edit any content. 

• LIMITATION OF LIABILITY. YOU AGREE THAT TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER LOSSES RESULTING FROM THE USE OR THE INABILITY TO USE OUR ONLINE SERVICES INCURRED BY YOU OR ANY THIRD PARTY ARISING FROM OR RELATED TO THE USE OF, INABILITY TO USE, OR THE TERMINATION OF THE USE OF ANY ONLINE SERVICE, REGARDLESS OF THE FORM OF ACTION OR CLAIM (WHETHER CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE), EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY THEREOF.

• DISCLAIMER OF WARRANTIES. YOU AGREE YOUR USE OF OUR ONLINE SERVICES AND ALL INFORMATION AND CONTENT (INCLUDING THAT OF THIRD PARTIES) IS AT YOUR OWN RISK AND IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND AS TO THE USE OF OUR ONLINE SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WE MAKE NO WARRANTY THAT THE ONLINE SERVICES (i) WILL MEET YOUR REQUIREMENTS, (ii) WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE ONLINE SERVICES WILL BE ACCURATE OR RELIABLE, AND (iv) ANY ERRORS IN THE ONLINE SERVICES OR TECHNOLOGY WILL BE CORRECTED.

•  Intellectual Property.  Our Online Site and Our Online Services, the content, and all intellectual property relating to them and contained in them (including but not limited to copyrights, patents, database rights, trademarks and service marks) are owned by Us, our affiliates, or third parties. All right, title and interest in and to Our Online Site and Our Online Service shall remain our property and/or the property of such other third parties. The Online Site and the Online Service may be used only for the purposes permitted by these Terms and Conditions or described on the Site. You are authorized solely to view the pages of Our Online Site for your own personal use. You may not duplicate, publish, modify, create derivative works from, participate in the transfer or sale of, post on the Web, or in any way distribute or exploit the Online Site, the Online Service or any portion thereof for any public or commercial use without our express written permission. You may not: (a) use any robot, spider, scraper or other automated system to access Our Online Site or Online Service; and/or (b) remove or alter any copyright, trademark or other proprietary notice or legend displayed on the Site (or printed pages of the Site). The name Alawneh\E-Way and other names and indicia of ownership of Alawneh's products and/or services referred to on Our Online Site are our exclusive marks or the exclusive marks of other third parties. Other product, service and company names appearing on Our Site may be trademarks of their respective owners.

• LINKS TO OTHER WEB SITES .  Our Online Website may contain links and pointers to other Internet sites and resources (the "Linked Sites"). Links to any Linked Site do not constitute an endorsement by, or association with, us of any third-party resources or their contents. These links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those site or resources, and we accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party website linked to the Site, you do so entirely at your own risk and subject to the terms and conditions of use for such website. You should direct any concerns regarding any Linked Site to such Linked Site's site administrator or webmaster. We do not represent or endorse the accuracy or reliability of, and expressly disclaim any advice, opinion, statement, or other information displayed or distributed through any Linked Site. You acknowledge that any reliance upon any opinion, advice, or information displayed on or otherwise available through any Linked Site shall be at your sole risk.

• Cancellation. Under laws relating to online contracts, you have a right to cancel your Agreement with us at any time after you indicate your acceptance of our Terms and Conditions, subject to the terms of this clause. This right of cancellation continues until the expiry of fourteen days beginning on the day after your acceptance of our Terms and Conditions. You may cancel your Agreement with us by contacting us by any of the means described in clause (15) below.

• Governing Law.  We both agree that any dispute, claim or other matter relating to offering Our Online Site or Our Online Service in Jordan brought before the Jordanian courts, will be governed by the laws of Jordan.

• SEVERABILITY. In the event any one or more of the provisions of these Terms and Conditions shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable.
